Homburger advised Vencora UK Limited

On November 16, 2023, Vencora UK Limited, an indirect subsidiary of Volaris Group Inc. and Constellation Software Inc. (CSI), a Canadian-based international provider of software and services (TSX: CSU), and Crealogix Holding AG, a Swiss-based global leader in digital banking technology (SIX: CLXN), jointly announced that they have entered into a definitive transaction agreement, under which Vencora agreed to submit an all-cash public tender offer to acquire all publicly held registered shares of Crealogix for CHF 60 per share, for an aggregate equity value for Crealogix of approximately CHF 84 m. Vencora published its pre-announcement of the offer today. Certain shareholders of Crealogix have concurrently entered into a share purchase agreement with Vencora for the sale of a total of 51.66% of all shares in Crealogix to Vencora.
The offer and the share purchase agreement with the selling shareholders are conditional upon the receipt of regulatory clearances in certain jurisdictions and other customary conditions.

On December 16, 2022, OC Oerlikon Corporation AG, Pfäffikon (SIX: OERL), a global innovation powerhouse for surface engineering, polymer processing and additive manufacturing, announced that it has signed a definitive agreement to acquire Riri, a leading provider of coated metal accessories for the luxury fashion industry.
The transaction marks a milestone in Oerlikon’s growth strategy and diversifies Surface Solutions’ offerings and market access. The transaction is expected to close in the first quarter 2023, subject to regulatory approvals and standard closing conditions.
Homburger acts as transaction counsel to Oerlikon. Homburger advised OC Oerlikon on the acquisition of Riri

On October 21, 2021, TAS S.p.A., a leading technology company listed on the Milan Stock Exchange, announced that two funds managed by Gilde Buy Out Partners, a leading European private equity investor in mid-market transactions, will indirectly acquire 73.2% of the share capital of TAS. Upon closing of the transaction, which is subject to certain conditions precedent, the acquirer will launch a mandatory tender offer under Italian law for the acquisition of all remaining shares in TAS. Based on the price of such mandatory tender offer, the value of the present acquisition amounts to approx. EUR 135 m.
