On July 1, 2024, Meyer Burger Technology AG (SIX: MBTN) completed a reverse split of its shares in the ratio 750:1, which had been approved by its annual general meeting of shareholders held on June 25, 2024. The listing and first day of trading of the new shares on SIX Swiss Exchange took place on July 1, 2024.
Homburger advised Meyer Burger on all legal aspects of the transaction. Santhera

On June 18, 2024, Santhera Pharmaceuticals Holding AG (SIX: SANN) announced that it had entered into a royalty monetization financing totaling up to USD 38 m with R-Bridge, an affiliate of CBC Group, Asia&#8217;s largest healthcare-focused investment firm. Santhera is monetizing 75% of its future royalty income streams from its North America and Greater China outlicensing of its marketed product AGAMREE®. In addition, Santhera entered into a commitment letter for a CHF 35 m senior secured term loan financing with certain funds managed by Highbridge Capital. The transaction also includes changes to existing financing arrangements with Highbridge Capital as well as tie issuance of warrants to Highbridge Capital.
Homburger advised Santhera on the Swiss law and tax aspects of the transaction. On May 30, 2024, St.Galler Kantonalbank AG (SGKB) successfully issued CHF 200 m 2.4% Tier 2 bonds due 2034. Zürcher Kantonalbank (ZKB) acted as Sole Lead Manager and SGKB as Co-Manager. Homburger acted as counsel to ZKB.
