COVID-19 General Meetings also in 2022
Abstract
The Swiss Federal Council decided yesterday that Swiss companies may also hold so-called «COVID-19 general meetings» in 2022.
Since March 2020, Swiss companies have been able to hold their general meetings without members being present if members are able to exercise their rights in writing, electronically or through an independent proxy.
The Federal Council has extended this temporary relief until the new rules on general meetings that are part of the corporate law reform take effect, but at the longest until December 31, 2023. We currently expect that the corporate law re-form will take effect in 2023. This means that COVID-19 general meetings may also be held in 2022.
