On March 13, 2024, Galderma Group AG (Galderma), the pure-play dermatology category leader, announced the launch of its Initial Public Offering (Offering) on the SIX Swiss Exchange. The Offering consists of up to 40,453,467 newly issued shares and up to 276,909 existing shares sold by one of its shareholders, Sunshine SwissCo AG (EQT), with an over-allotment option of up to 6,109,158 existing registered shares granted by EQT together with the Abu Dhabi Investment Authority (ADIA) and Auba Investment Pte. Ltd.
Based on the offer price range between CHF 49 and CHF 53 resulting in an offer size of approximately CHF 2.3 billion (assuming the over-allotment option is exercised in full), the implied market capitalization of Galderma is estimated between CHF 11.8 billion and CHF 12.6 billion. The listing and the first day of trading are expected to take place on March 22, 2024. Galderma will be included in the Swiss Performance Index (SPI).
Homburger acts as issuer&#8217;s, selling shareholder&#8217;s and transaction counsel to Galderma and EQT. Homburger Deal Cerberus Capital Management

Homburger advised Cerberus Capital Management LP on the acquisition and financing of a SEK 11.5 bn portfolio of loans acquired from Intrum. The transaction involves over 10,000 portfolios with a nominal value of SEK 382 bn (EUR 33 bn) and a book value of SEK 11.5 bn (EUR 1.0 bn) as of September 30, 2023, across 13 European jurisdictions. The entities that own these portfolios, including Intrum Debt Finance AG, will be acquired by Cerberus.
The transaction is structured as a joint venture partnership, in which Cerberus will hold a 65% ownership stake and Intrum will hold a 35% ownership stake. The joint venture partnership has also entered into a facilities agreement with Goldman Sachs to provide financing for the transaction.
Intrum is Europe&#8217;s biggest manager of non-performing loans with a presence in over 20 markets across the continent. The transaction is expected to close in the first half of 2024.

On December 18, 2023, Global TIP Holdings Two B.V. as company and Global TIP Finance B.V. as borrower received an increased EUR term facility under its existing multicurrency credit facilities agreement with ABN AMRO Bank N.V. as agent and Coöperatieve Rabobank U.A. as security agent, which is guaranteed by, inter alia, PEMA Truck- und Trailervermietung GmbH.
PEMA Truck- und Trailervermietung GmbH is one of the leading commercial vehicle rental companies for complete heavy-duty tractor units in Europe.
