Homburger and Scaled Agile

On April 20, 2023, Scaled Agile Inc., a portfolio company of Eurazeo SE (Euronext Paris: RF), one of Europe&#8217;s leading private equity firms, announced its acquisition of Rentouch, a Swiss-based company specializing in software for visualizing agile planning events across multiple agile teams with SAFe®. This acquisition aims to accelerate Scaled Agile&#8217;s goal to redefine the way the world&#8217;s leading organizations identify and deliver customer value, capitalize on emerging opportunities, and improve business outcomes through integrated solutions that help teams unlock better ways of working.
Homburger advised Scaled Agile in this transaction. The team was led by Dieter Gericke (Corporate/M&amp;A) and included Léonard Aeschlimann (Corporate/M&amp;A), Reto Heuberger, Philippe Weber (both Tax), Gabriel Kasper (IP/IT and Data Protection), Matia Trosic and Frédéric Fitzi (both Employment and Executive Compensation) as well as Pepe Hünerwadel and Florian Gasche (both Corporate/M&amp;A).

On March 8, 2023, Solenis announced that it has entered into a definitive merger agreement under which Solenis will acquire Diversey in an all-cash transaction valued at an enterprise value of approximately USD 4.6 bn. Upon completion of the merger, Diversey will become a private company.
Headquartered in Wilmington, Delaware, Solenis is a leading manufacturer of specialty chemicals used in water-intensive industries, which was acquired by Platinum Equity in 2021. Diversey is a leading provider of hygiene, infection prevention and cleaning solutions based in Fort Mill, South Carolina.
The transaction is expected to be completed in the second half of 2023, subject to customary closing conditions.
Homburger acts as Swiss transaction counsel to Solenis. The Homburger team includes Andreas Müller, Karin Mattle and Pepe Hünerwadel (all Corporate / M&amp;A), Kristina Martinovic (Employment and Executive Compensation) as well as Gregor Bühler and Hélène Bruderer (both IP / IT).

Noema Pharma

On March 7, 2023, Noema Pharma AG announced that it has successfully closed an oversubscribed Series B financing round, raising CHF 103 m (approx. USD 112 m) from new and existing investors. The round was co-led by the European healthcare focused investment firms Forbion and Jeito Capital. UPMC Enterprises and an additional new investor joined existing investors Sofinnova Partners, Polaris Partners, Gilde Healthcare and Invus to complete the round.
Noema Pharma is a clinical-stage biotech company targeting debilitating central nervous system (CNS) disorders characterized by imbalanced neuronal networks. The proceeds of the Series B financing will be used to advance Noema Pharma&#8217;s clinical-stage assets.
Homburger AG advises Noema Pharma AG as transaction counsel in this Series B financing round.
