On June 29, 2023, the sale of a majority shareholding in Flisom AG has been successfully completed. Qubit Investments Pte Ltd, an affiliate of Tata Industries Ltd, together with several other shareholders sold its stake in the ETH Zurich spin-off, a developer and manufacturer of photovoltaic thin-film solar modules, to FL1 Holding GmbH, a Germany based investment company.
Homburger AG advised Qubit Investments on all Swiss legal aspects of the transaction. The Homburger team was led by Daniel Hasler and included Stefan Blunschi, Stefan Luginbühl, Julien Di Sabato, Martin Cattaneo and Giulia Meier (all Corporate / M&amp;A).

On July 3, 2023, Santhera Pharmaceuticals Holding AG (SIX: SANN) completed a 10:1 reverse split of its shares, which had been approved by the shareholders on June 27, 2023, with the listing and first day of trading of the post-split shares on the SIX Swiss Exchange.
The transaction was enabled by a rule change that made reverse splits much easier for Swiss public companies after January 1, 2023.
The Homburger team was led by Daniel Häusermann (Corporate / M&amp;A, Capital Markets) and included Stefan Oesterhelt (Tax), Jasmin Künzle and Martin Cattaneo (both Corporate / M&amp;A, Capital Markets) as well as Eduard De Zordi and Philipp Klein (both Capital Markets).

Homburger advised Santhera on its reverse share split

On June 20, 2023, Santhera Pharmaceuticals Holding AG (SIX: SANN) announced the grant of an exclusive North America license for vamorolone to Catalyst Pharmaceuticals, Inc. (NASDAQ: CPRX) for a total consideration of up to USD 231 m plus royalty payments from product sales. The deal includes a USD 15 m equity investment by Catalyst through the purchase of Santhera treasury shares.
Homburger AG advised Santhera on the Swiss corporate, capital markets and tax law aspects of the transaction.
