On April 3, 2024, Meyer Burger Technology AG (SIX: MBTN) announced the successful completion of its rights offering, raising gross proceeds of CHF 206.75 m. Shares not subscribed by shareholders were placed with institutional investors at the prevailing market price.
Homburger acted as legal and tax counsel to Meyer Burger in this transaction. On March 13, 2024, Galderma Group AG (Galderma), the pure-play dermatology category leader, announced the launch of its Initial Public Offering (Offering) on the SIX Swiss Exchange. The Offering consists of up to 40,453,467 newly issued shares and up to 276,909 existing shares sold by one of its shareholders, Sunshine SwissCo AG (EQT), with an over-allotment option of up to 6,109,158 existing registered shares granted by EQT together with the Abu Dhabi Investment Authority (ADIA) and Auba Investment Pte. Ltd.
Based on the offer price range between CHF 49 and CHF 53 resulting in an offer size of approximately CHF 2.3 billion (assuming the over-allotment option is exercised in full), the implied market capitalization of Galderma is estimated between CHF 11.8 billion and CHF 12.6 billion. The listing and the first day of trading are expected to take place on March 22, 2024. Galderma will be included in the Swiss Performance Index (SPI).
Homburger acts as issuer&#8217;s, selling shareholder&#8217;s and transaction counsel to Galderma and EQT. On May 22, 2023, VectivBio Holding AG (Nasdaq: VECT), Basel (Switzerland), a clinical-stage biopharmaceutical company pioneering novel transformational treatments for severe rare gastrointestinal conditions, and Ironwood Pharmaceuticals, Inc. (Nasdaq: IRWD), a GI-focused healthcare company, announced that they had entered into an agreement for Ironwood to launch an all-cash public tender offer to acquire all outstanding shares in VectivBio for USD 17 per share, with an estimated aggregate consideration of approximately USD 1 bn, net of VectivBio cash and debt. The acquisition price represents a premium of 80% relative to the volume-weighted average share price over the previous 90 trading days. The offer is subject to customary conditions and expected to close in mid-2023. VectivBio&#8217;s board of directors unanimously recommends the offer. Orbimed, Forbion and Versant Ventures, and VectivBio&#8217;s directors and officers jointly representing 28.6% of VectivBio&#8217;s shareholdings, entered into tender and support agreements in connection with, and in support of, the offer.
