Homburger advises Nestlé on its partnership with Platinum Equity to create Peranel, a 50:50 joint venture for Nestlé’s waters and premium beverages business

On July 23, 2026, Nestlé (SIX: NESN) and Platinum Equity announced a plan to create Peranel, a 50:50 joint venture for Nestlé’s waters and premium beverages business, designed to establish a dedicated player with strengthened focus to drive growth in a dynamic category.
Spanning more than 30 brands with products sold in 120 countries, Peranel includes iconic natural mineral water brands such as S.Pellegrino, Source Perrier and Acqua Panna as well as premium and functional hydration beverages, the global Nestlé Pure Life brand and other leading local water brands.
The transaction is subject to employee consultation processes and applicable regulatory approvals and is expected to close in H1 2027. It assigns an enterprise value to Peranel of EUR 4.9 bn (CHF 4.5 bn).
Homburger acted as legal counsel to Nestlé on the carve-out in Switzerland and all Swiss law matters in connection with the transaction.

Homburger advised the syndicate of banks and InstallatørGruppen in connection with the refinancing of InstallatørGruppen’s credit facilities in connection with InstallatørGruppen A/S’ initial public offering and listing on Nasdaq Copenhagen. The refinancing consisted of a multicurrency revolving credit facility in an aggregate amount of DKK 1.75 bn.
InstallatørGruppen is a leading provider of multi-disciplinary technical installation services in Denmark and Switzerland, offering solutions in the fields of plumbing, heating, ventilation/air conditioning, refrigeration and electrical systems, as well as in selected specialist areas such as energy optimization, building automation and solar panel installations.
Homburger acted as local joint counsel to the syndicate banks and InstallatørGruppen with regard to all Swiss legal aspects of the refinancing transaction.
The Homburger team was led by Jürg Frick and included Constantin Khovrin (both Financing) as well as Stefan Oesterhelt (Tax).

Homburger advised selling shareholder MPT Switzerland Holdings S.à r.l. on the IPO of Infracore SA on SIX Swiss Exchange

On July 9, 2026, Infracore SA, Switzerland’s leading specialist in healthcare real estate, successfully completed its Initial Public Offering on SIX Swiss Exchange. Priced at CHF 54 per share, the Offering consisted of 4,209,203 firm shares, comprising 3,703,703 newly issued shares and 505,500 existing shares sold by Infracore’s largest shareholder, MPT Switzerland Holdings S.à r.l., and an over-allotment option of up to 420,920 existing shares granted by MPT, exercisable on or before August 7, 2026. Trading in the shares on SIX started on July 9, 2026.
Based on the offer price of CHF 54 per share, the aggregate offer size (assuming the over-allotment option is exercised in full) is up to approximately CHF 250 m, and the market capitalization of Infracore on the first day of trading was approximately CHF 826 m.
Homburger acted as selling shareholder’s and transaction counsel to MPT. The team was led by Daniel Hasler and Lorenzo Togni and comprised Estelle Piccard and Constantin Khovrin (all Capital Markets, Corporate/M&amp;A), Stefan Bindschedler (Financing), Reto Heuberger and Laetitia Fracheboud (both Tax).
