On December 2, 2024, Bank J. Safra Sarasin AG announced the acquisition of 100% of the shares of MIV Asset Management AG («MIV»).
MIV is characterized through its investments in medical technology and its flagship fund, the MIV Global Medtech Fund. MIV is known for its innovative approach and in-depth knowledge of the sector. MIV&#8217;s offering is an addition to Bank J. Safra Sarasin&#8217;s range of thematic equity strategies, which are available to both private and institutional investors.
MIV&#8217;s investment strategy and organizational structure will remain unchanged to ensure solid performance and seamless client service.

On May 8, 2024, ADC Therapeutics SA (NYSE:ADCT), a commercial-stage biotechnology company headquartered in Switzerland, announced the offering of 13.4 m common shares and, to certain investors who so choose in lieu of common shares, pre-funded warrants to purchase 8.1 m common shares, raising aggregate gross proceeds of USD 105 m.
Homburger advised ADC Therapeutics SA on the Swiss law and tax aspects of this transaction. Candence Design Systems Inc. aquires BETA CAE Systems

Homburger advises Cadence on its  USD 1.24 bn acquisition of BETA CAE Systems

On March 5, 2024, Cadence Design Systems Inc. (Nasdaq: CDNS), a leading global EDA and Intelligent System Design provider, announced that it has signed a definitive agreement to acquire BETA CAE Systems International AG, a leading provider of multi-domain, engineering simulation solutions headquartered in Switzerland.
Under the terms of the definitive agreement, Cadence will pay approximately USD 1.24 bn for the transaction, with 60 percent of the consideration to be paid in cash and 40 percent to be paid through the issuance of Cadence common stock to current BETA CAE shareholders. The transaction, which is subject to customary conditions, is expected to close in the second quarter of this year.
