Homburger advised Zur Rose Group on its sale of the Swiss operations to Medbase

On February 2, 2023, Zur Rose Group and the Migros healthcare subsidiary Medbase executed a share purchase agreement to assign and transfer to Medbase all shares in Zur Rose Group’s subsidiaries Zur Rose Suisse, Bluecare, Speciality Care Therapiezentren, Aerztemedika, and Clustertec. Such target companies form the Swiss business operations of Zur Rose Group. The transaction is subject to merger control clearance.

Homburger advised Zur Rose Group with respect to all carve-out transactions necessary to govern mutual licensing, IT development activities, and transitional sourcing of business operations. Further, Homburger advises Zur Rose Group on the merger control aspects of the transaction.
